By-Laws of Walla Walla Cruisers

ARTICLE I – NAME & PURPOSE

Section 1. Name: The name of this Club shall be Walla Walla Cruisers

Section 2. Purpose: The general purpose of this Club shall be to restore and maintain, and enjoy motor vehicles of all ages for show and parade purposes. To provide a family atmosphere. To share technical and mechanical information with other members as well as the general public.

Section 3. Emblem: The club emblem shall be the design selected by a majority vote of the members at a regular meeting of the membership of the club.

ARTICLE II - MEMBERSHIP

Section 1. The membership of this Club shall be:

Section 2. Qualifications for membership:

1. Regular members whose names are on the club roster, and shall be limited to those individuals who are financially and morally responsible and are interested in the objectives of this Club. Regular members must pay all membership dues, which consist of $20.00 per year, per person, couple, or family whichever it may be. Only elected officers shall collect dues at a car club function from prospective members or past members and a receipt shall be given for such dues. All members should encourage membership in Walla Walla Cruisers and can be supplied with membership forms to be filled out and sent to the P.O. Box with a check to cover membership. Each member will include on their membership form the name of their insurance carrier, this is required for membership in our club. Any member found to not have insurance coverage shall be dropped from our club.

2. Dues are payable each year and collected in January. If a new person, or persons wish to join the Walla Walla Cruisers club and should sign up to join in any month other than January of the year, they are declared to be a member of the club. New dues are payable each January in the forthcoming year. If after joining the club, and any member doesn't renew his membership by the meeting in March of the following year, the members name shall be dropped from the membership and they will not receive any further newsletters or club information whichever is available to the membership. After the end of March and when the Treasurer receives dues, the newsletter will be again made available to the member, and he or she will be a member in good standing. Dues, and increases can be reviewed on an annual basis and voted on by the general membership at a regular club meeting. Any person joining at Wheelin' Walla Walla Weekend or the second weekend of September will be a member for the following year.

ARTICLE III - OFFICERS

Section 1. The officers of this Club shall be: President, Vice President, Secretary, Treasurer.

PRESIDENT: The president's duties shall be to preside over the meetings, call special meetings and any other duties generally attributed to that office. Whenever possible the President or Vice-President shall oversee all committee(s).

VICE PRESIDENT: Vice-President, whose duties shall be to preside in the absence of the President.

SECRETARY: Secretary duties shall be to take minutes for each meeting, keep any records and correspondence and any other duties generally attributed to that office. The Secretary shall read any other club flyers to the membership and submit any forms needed for car shows.

TREASURER: Treasurer duties shall be to keep an accurate account of the club funds in a bank account, to issue club checks at the meetings, for any bills turned in and voted on by the general membership to pay. All checks will be signed by at least two officers. It will be the duty of the Treasurer to get a new signature card from the bank for the officers to sign and return it to the bank for signature reference. Treasurer shall retrieve the mail from the club P.O. Box, and report any new membership to the members at the next regular meeting.

Section 2. Nominations

1. Nominations of candidates for offices of President, Vice-President, Secretary, and Treasurer shall be made by the nominating committee, which shall consist of a minimum of three persons appointed by the President, at a regular meeting. Candidates names shall to be presented to the membership at the October meeting. The nominating committee may also accept additional nominations from the floor at the November meeting. The term of office shall be from the January meeting through the December.

Section 3. Balloting
1. Balloting or voting for the nominees shall be at the regular November meeting, open or secret, at the discretion of the President.

Section 4. Term
1. All elected officers shall take office at the party in January.

ARTICLE IV - TIME AND PLACE OF MEETINGS

Section 1. REGULAR MEETINGS:

1. Regular meetings shall be held at the times and places voted by members of the Club. The first meeting of each calendar year shall be designated as the regular meeting day, which shall be the first Tuesday of each month.

2. Special meetings, may be called by the President. Such meetings will be held in a designated place, for the purpose of presenting any new agenda, facts, or by-law changes to the general membership. Which will be voted on at the next regular meeting of the club members, by the membership. The by-laws may be amended at any regular meeting by a two-thirds (2/3) vote of voting members present Provided a written copy of the amendment has been attached to the newsletter.

ARTICLE V - LIABILITY

Section 1. Liability of club
All persons of corporations extending credit to, contracting with, or having any claim against the Club or the officers shall look only to the funds and property of the Club for payment of any such contract or claim or the payment of any debt, damage, judgment or decree or any other money that may otherwise become due or payable to them from the Club or the officers, so that neither the members of the Club, the officers present or future shall be personally liable therefore.

Section 2. Personal Liability
No part of this article shall be construed to relieve the personal liability of any member or officer who acts outside this authority as a club agent or officer.

Section 3. Membership
The Walla Walla Cruisers as an entity reserves the right to refuse membership to any person(s). Disqualification of members from club: Any member whose behavior that is deemed to be inappropriate, shall be asked to leave said function. If the person refuses to leave he/she will be disqualified from membership and a letter will be sent from the Club stating the reason, and dues will not be refunded.

Section 4. PROFITS:
This club is a nonprofit organization, the members thereof shall not be entitled to any individual or collective interest, participation, share, right and/or property right in and to the assets of this Club, but such assets shall constitute the indivisible property of this Club. In the event of dissolution of the Club all properties owned by the Club shall be auctioned to members and proceeds donated to a charity of the members choice. No dividends, profits or payments of like nature shall ever be declared or paid to the members of this Club.

Section 5. INSURANCE:
Upon paying your yearly dues for membership to the Walla Walla Cruisers car club, the member shall legally bound for themselves, shall hereby release and discharge the Walla Walla Cruisers, and the officers of said club, from any and all liability arising from damages, illnesses, injury and /or physical consequences I may suffer as a result of my participation in club activities. I understand that my dues are non refundable, and I must have proof of insurance. I have read the information provided and certify my compliance each year upon signing the club membership form The club will not be held responsible for any liability damage due to the negligence of any Club Member.

Section 6. NEWSLETTER:
The Club newsletter shall be printed and in the mail to members prior to the regular monthly meeting. Advertising in the Club newsletter shall be free to the Club Members and of Auto related items.

Section 7. DUTIES OF CRUISE COMMITTEE:
There shall be minimum of two (2) cruise committee members. The committee will meet to decide the date, place and time for scheduled cruises. They will be responsible for contacting the chosen establishment. The committee will then make the final cruise schedule and contact chosen establishment for dates and times. Once the list has been finalized it shall be distributed to said establishments

Section 8. Raffles, Poker Runs, 50/50's and other cruise activities: Please see attachments "50/50" and "Poker Runs and other events".

Section 9. Event Planner/Committee (consisting of one or more members) shall be in charge of planning club events.

Section 10. Scholarships: If finances are available the general membership will select and vote on one or more entities who will be the recipients of an agreed upon amount.
